1. About Bharoxa

Bharoxa is a software platform that helps businesses manage customer conversations, leads, listings, catalogues, follow-ups, automation, customer information and related business workflows. Bharoxa may be used by businesses across different industries, including real estate, automobiles, education, travel, retail, professional services, healthcare, and other lawful businesses.

2. Eligibility and account

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your login credentials, all activity performed through your account, and ensuring authorised users follow these Terms. Notify Bharoxa promptly if you believe your account has been accessed without authorisation.

3. Subscriptions and payments

Bharoxa may offer monthly, quarterly, annual or other subscription plans. Plans may have different features, user limits, storage limits, messaging limits, automation limits and other usage restrictions. Applicable prices, taxes, billing periods and limits will be shown before purchase.

Subscription fees are generally payable in advance. Unless otherwise stated in the applicable plan or required by law, fees paid for a subscription period are non-refundable once that period has started. Bharoxa may change its subscription plans, features or prices. Where required by applicable law, reasonable notice will be provided before material changes take effect.

4. WhatsApp, Meta and third-party services

Bharoxa may depend on WhatsApp Business Platform, Meta services, payment providers, cloud infrastructure, AI providers and other third-party services. Your use of such services may also be subject to their respective terms and policies.

WhatsApp or Meta may change pricing, messaging policies, templates, account requirements, API functionality, verification requirements or other rules. Such changes may affect Bharoxa's Services. Bharoxa does not control third-party platforms and does not guarantee that their services, pricing or functionality will remain unchanged.

5. WhatsApp messaging and customer consent

You are responsible for ensuring that you have the necessary permission, consent or other lawful basis to contact customers through WhatsApp or other communication channels. You must not use Bharoxa to send spam, unsolicited or unlawful communications.

You are responsible for complying with WhatsApp/Meta messaging policies and applicable laws relevant to your business and communications. Bharoxa may restrict or suspend messaging functionality if your account generates complaints, violates applicable policies, or creates a legal, security or platform risk.

6. Customer data and business content

You retain ownership of business information, customer information, listings, catalogues, images, documents, messages and other content that you submit to Bharoxa ("Customer Data").

You grant Bharoxa permission to process Customer Data only as reasonably necessary to provide and operate the Services, store and transmit information, execute requested automations, provide customer support, maintain and secure the platform, improve the Services where permitted by applicable law, and comply with legal obligations.

You are responsible for ensuring that you have the necessary rights and permissions to upload and process Customer Data.

7. Privacy and personal data

If you upload or process personal information belonging to customers, employees or other individuals, you are responsible for complying with applicable privacy and data-protection laws.

Bharoxa's handling of personal information will also be governed by its Privacy Policy. You should not upload or process personal information unless you have the necessary legal rights, permissions or consent to do so.

8. Listings, products and services

Bharoxa may allow you to create and manage listings, products, vehicles, properties, services, catalogues or other business offerings.

You are solely responsible for ensuring that your information, descriptions, images, prices and other business content are accurate, lawful and not misleading. Bharoxa does not guarantee the quality, ownership, availability, legality or accuracy of products or services offered by its users.

9. Leads and business results

Bharoxa provides tools for capturing, organising, qualifying and managing leads. Bharoxa does not guarantee a particular number of leads, that a lead will become a customer, that a customer will purchase from you, or any particular revenue, profit or business result. You remain responsible for handling your customers and completing transactions.

10. Automation and AI features

Bharoxa may provide automated workflows and AI-powered features. Automated or AI-generated responses may contain errors, omissions or inaccurate information. You are responsible for reviewing and configuring workflows and determining whether automated or AI-generated content is appropriate before relying on it.

AI features are provided as assistance and should not be treated as a substitute for professional legal, financial, medical or other professional advice. Bharoxa may modify, improve, restrict or discontinue AI or automation features from time to time.

17. Owner services and managed services

Where Bharoxa offers additional managed services such as inspections, maintenance coordination, local assistance, service requests, vendor coordination, on-ground visits or similar services, such services may be subject to additional terms, fees and availability requirements.

Where independent vendors or service providers are used, Bharoxa may not control their actions or performance.

18. Suspension and termination

Bharoxa may suspend or terminate your account or access to some or all Services if you violate these Terms, fail to pay applicable fees, use the account for illegal, fraudulent or abusive activities, violate WhatsApp/Meta or other third-party policies, or create a security, legal or operational risk.

Where reasonably possible, Bharoxa may provide notice before suspension. Immediate suspension may occur where necessary to protect Bharoxa, its users or third parties.

19. Effect of termination

After termination, access to paid features may stop and integrations or automated workflows may become inactive. You remain responsible for outstanding amounts incurred before termination.

Data retention or deletion will be handled according to Bharoxa's Privacy Policy and applicable law.

20. Refunds and cancellation

Cancellation and refund terms applicable to your subscription will be displayed during purchase or in the applicable Refund & Cancellation Policy.

Unless otherwise stated or required by law, unused subscription periods, unused messaging allowances and partial subscription periods are not refundable.

21. Disclaimer

To the maximum extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis.

Bharoxa does not guarantee that the Services will always be available, error-free, secure, accurate or suitable for every particular business purpose. Bharoxa does not guarantee business results, sales, leads, customer conversions or revenue.

22. Limitation of liability

To the maximum extent permitted by applicable law, Bharoxa will not be liable for indirect, incidental, special, consequential or punitive losses, including loss of profits, revenue, business, opportunities, goodwill or data.
